Carrying out of the formalities required for capital increases / limited liability companies - One-Stop Shop - Tunis, Sousse and Sfax

  • Step 1: Provisional submission to the Trade Registry/statutory general assembly
    • Desk: Court clerk (Greffe du Tribunal)
    • Time limit: immediately
    • Documents to be provided:
      • registered or original copy of statutory general assembly minutes
      • copy of the extract from the trade registry
      • translation in Arabic of the main resolutions of the statutory general assembly
  • Step 2: Publication of the notice
    • Desk: IORT
    • Time limit: immediately
    • Documents to be provided:
      • Text of the notice to be published in Arabic and French (typed) - Art. 164 of the commercial companies code
      • Tax registration number
  • Step 3: Declaration of subscription and payment
    • Desk: Tax office (Recette des Finances)
    • Time limit: 24 hours
    • Documents to be provided:
      • last declaration of subscription and payment and of any earlier acts of modification
      • receipts for submission to the relevant court clerk
      • relevant texts published in the Official Journal of the Tunisian Republic (JORT)
      • relevant extract from the Trade Registry dating less than three months
      • receipt for provisional submission to the court clerk of the minutes covering the decision to introduce a capital increase
      • notice for publication in the Official Journal of the Tunisian Republic (JORT) and daily newspapers (texts in Arabic and French) / Cf. Art 164 of the commercial companies code
      • 2 copies of minutes of the statutory general assembly relating to capital increases, dating from less than 6 months and with legalized signatures
      • 7 to 10 copies of the declaration of subscription and payment schedule
      • 7 to 10 copies of the list of subscribers and payment schedules
      • original copy of the bank attestation relating to release of funds
      • subscription bulletins / Cf. Art 167 of commercial companies code
      • board certificate approved by the founding board, justifying payment of the amount for shares to compensate claims falling due to the company / Cf. Art. 305 of the commercial companies code;
      • empowerment of the board to proceed with a capital increase, if the statutory general assembly has not already provided for this
      • minimum of 5 copies of the auditor’s report, if capital increase is carried out with inputs in kind as well as cash inputs
      • copy of the national identity card of the appearer or passport for foreigners, with presentation of the original
      NB. Companies set up in the framework of the investment incentives code have to provide a copy of the attestation that a declaration of intention to invest has been submitted - a certified copy if the company intends to export its entire production or if there are foreign holdings
  • Step 4: Definitive submission to the Trade Registry / statutory general assembly
    • Desk: Court office (Greffe du Tribunal)
    • Time limit: immediately
    • Documents to be provided:
      • 2 forms to be filled in and signed, available at the desk
      • 2 registered copies of the statutory general assembly minutes
      • 2 registered copies of the board directory if appropriate
      • translation in Arabic of the main resolutions of the statutory general assembly and of the board or directory
      • 2 copies of the declaration of subscription and payment
      • 2 copies of the list of subscribers
      • a 5 TD tax stamp for each extract requested
      • power of attorney if the submitter is not the company’s legal representative
  • Step 5: Publication in the Official Journal of the Tunisian Republic (JORT)

      • Text of the notice to be published in Arabic and French (typed)
      • Tax identification number

Issuing of customs identification numbers / customs code - One-stop shop – Tunis, Sousse and Sfax

  • Eligibility: Companies set up in the framework of the investment incentives code
  • Relevant desk: customs desk
  • Time limit: immediately
  • Documents to be provided
    • duly completed form, available at the desk
    • copy of the attestation that a declaration of intention to invest has been submitted (marked: For Customs)
    • copy of the registered statutes (original copy)
    • copy of the declaration that the company exists and of the tax identification card
    • extract from the Trade Registry (original copy)
    • copy of the national identity card of the company’s legal representative
    • 1 TD tax stamp

Affiliation of the legally constituted social security system / private individuals / corporate entities: One-stop shop - Tunis

  • Eligibility: Companies set up under the investment incentives code
  • Relevant desk: National social security authority / CNSS
  • Time limit: immediately
  • Documents to be provided
    • Private individuals:
      • copy of the attestation that the declaration of intention to invest has been submitted /li>
      • copy of the company’s legal representative’s ID (national identity card – residency permit - passport) /li>
      • application for affiliation, duly filled in and signed, with the company’s stamp (form available at the CNSS desk) /li>
      • nominative list of staff, signed by the employer (form available at the CNSS desk) /li>
      • working hours cleared by the geographically relevant labor authority /li>
      • copy of the declaration of company existence and of the tax identification card/li>
      • document specifying the address of the company’s head office (registered copy of the rental contract or certificate of ownership of the premises) /li> If this is a domiciliation, you need to provide an attestation with the legalized signature of the legal representative of the paying company, with a registered copy of the rental contract if this is the case extract from the Trade Registry
    • Corporate entity: in addition to the documents listed above, you need to provide:
      • copy of the notice for publication in the Official Journal of the Tunisian Republic (JORT) relating to setting up of a new company/li>
      • registered copy of the founding acts: statutes /li>
      • copy of the minutes designating the President Director General/li>
      • copy of the minutes designating the manager, if this is not already specified in the statutes/li>
    NB: Affiliation in the national social security system is subject to payment of a 5 TD registration fee.

Affiliation of unpaid employees – One-stop shop - Tunis

  • Eligibility : Companies set up under the investment incentives code
  • Relevant desk: National social security authority / CNSS
  • Time limit: immediately
  • Documents to be provided
    • copy of the attestation that the declaration of intention to invest has been submitted
    • copy of the national identity card of unpaid workers (promoter / manager / President Director General)
    • 2 identity photos
    • birth certificate for the employee, his or her spouse and any children
    • copy of the declaration that the company exists and of the tax identification card
    • extract from the Trade Registry
    • copy of the statutes and of the document designating the company’s legal representative, if there is one
    NB : Affiliation to the national social security system is subject to a 5 TD registration fee.

Issuing of attestations of non submission for stamping of work contacts - One-stop shop – Tunis

  • Eligibility: Foreign employers and workers: Project promoters, Company managers and President Directors General
  • Relevant desk: Ministry of Employment and the Professional Insertion of Young People (MEIPJ)
  • Time limit: 10 days from the date of submission of the application at this desk
  • Documents to be provided
    • Attestation of foreign employer
      • copy of attestation that a declaration, authorization or merchant card has been submitted
      • copy of the company’s statutes and of the minutes designating the President Director General, the manager or the company’s legal representative
      • copy of a declaration that the company exists and of the tax identification card
      • copy of the extract from the Trade Registry
      • copy of the notice for publication in the Official Journal of the Tunisian Republic (JORT) concerning setting up of the company
      • copy of the residency permit if the applicant is resident in Tunisia
      • copy of a nominative declaration of employees, issued by the national social security authority, with copy of the payment receipt

      • For an application to renew, you need to provide:

Issuing of residency permits: One-Stop Shop – Tunis, Sousse and Sfax

  • Eligibility: Foreign promoters and investors
  • Relevant desk: Ministry of the Interior
  • Time limit: A receipt for submission is remitted on the spot to the promoter and a residency permit is issued within one month.
  • Documents to be provided
    • pre-printed form (available at the desk),to be filled in
    • copy of the attestation that a declaration of intention to invest has been submitted, authorization or merchant card
    • registered copy of the company’s statutes
    • certified copy of the employer’s or foreign employee’s attestation or work contract cleared by the relevant services of the Ministry of Employment
    • copy of the rental contract or right to use given premises
    • copy of the declaration that a company exists and of the tax identification card
    • copy of the extract from the Trade Registry
    • copy of the notice to be published in the Official Journal of the Tunisian Republic (JORT) concerning the setting up of new businesses
    • copy of the passport (first three pages and the page showing the entry visa)

    • If the application is for renewal of a residency permit, you will need to provide:
    • 3 ID photos

    • NB. For mixed marriages with a Tunisian, you need to provide a copy of the marriage contract or of the spouse’s national identity card.
      For Moroccan and Algerian investors, you need to provide:
    • an attestation of nationality issued by the consulate
    • copy of the consular card

Issuing of collateral or non collateral certificates: One-stop shop – Tunis, Sousse and Sfax

  • Eligibility:
    • One-stop shop - Tunis: Companies whose activities are governed by the investment incentives code, with the Trade Registry extract issued by the court office at the one-stop shop in Tunis and where the address of the head address in the governorate of Tunis
    • One-stop shops - Sousse and Sfax: Companies whose activities are governed by the investment incentives code, and others
  • Relevant desk: Court clerk (Greffe du Tribunal)
  • Documents to be provided
    • application on blank paper
    • copy of the extract from the Trade Registry
    NB: The certificate of collateral/non collateral is subject to a 5 TD registration fee.

Submission of acts of modification: One-stop shop - Tunis, Sousse and Sfax

  • Eligibility:
    • One-stop shop - Tunis: Companies whose activities are governed by the investment incentives code and whose extract from the Trade Registry is submitted to the court clerk at the one-stop shop in Tunis.
    • One-stop shop - Sousse and Sfax: Companies whose activities are governed by the investment incentives code and others
